Terms of Service

1. Acceptance of Terms

By installing, accessing, or using ProdKit AI (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms apply to all users. "ProdKit AI," "we," "us," and "our" refer to 3314396 Nova Scotia Limited.

2. Description of Service

ProdKit AI is a Shopify application offering AI‑powered content tools (e.g., product descriptions, blog posts, image/logo generation, SEO helpers). Some features integrate with third‑party services, including Shopify. Beta/experimental features may be added or removed at any time.

3. User Accounts and Registration

To use the Service, you must have a valid Shopify store and complete installation. You are responsible for:

  • Maintaining the security of your Shopify account and any API keys or integrations you connect
  • All activities that occur under your account
  • Providing accurate and complete information
  • Promptly notifying us of any unauthorized access

4. Subscriptions, Pricing & Taxes

  • Auto‑renewals: Paid plans renew automatically at the stated cadence unless canceled.
  • Authorization: You authorize recurring charges for subscription fees and applicable taxes.
  • Pricing changes: We may change fees prospectively with notice where required by law. If you do not agree, cancel before the change takes effect.
  • Taxes: Fees are exclusive of taxes; where required, we will charge applicable taxes to your payment method.

5. Cancellations & Refunds

  • How to cancel: Uninstall the ProdKit AI app from your Shopify admin to stop future billing. Export any data you need before uninstalling.
  • Effective date: Cancellation takes effect at the end of your current billing period; access continues until then.
  • Refunds: Subscription fees are non‑refundable except where required by law. No credits for partial months, unused time, or downgrades.

6. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable laws, regulations, or Shopify policies
  • Generate or distribute illegal, harmful, deceptive, or abusive content
  • Infringe, misappropriate, or violate intellectual property or privacy/publicity rights
  • Depict or solicit sexual content involving minors or exploitative material
  • Promote violence, terrorism, self‑harm, or hate
  • Impersonate others or create deceptive endorsements/reviews
  • Attempt to probe, scan, or test the vulnerability of the Service or to circumvent rate limits/safety filters
  • Reverse engineer, decompile, or otherwise attempt to derive source code or model weights
  • Use automated scraping or bulk processing without written permission

7. AI Generation & User Content

The Service can generate text and images based on your prompts. You are solely responsible for your prompts, inputs, and the outputs you choose to use or publish.

  • No professional advice: Outputs may be inaccurate or inappropriate and are provided for informational/creative purposes only.
  • Safety filters are fallible: While we apply content safeguards, we do not guarantee prevention of unsafe or infringing outputs. You must review and moderate outputs before use.
  • Prohibited image uses: Do not generate or upload content that: (a) violates IP rights (e.g., logos, characters, trademarks) without permission; (b) uses a person’s likeness without consent or invades privacy; (c) depicts illegal/sexual content or non‑consensual imagery; or (d) violates any applicable law or platform policy.
  • Ownership & licenses: As between you and us, you own your prompts and the outputs you lawfully create, subject to third‑party rights. You grant us a limited license to process your inputs/outputs as needed to provide and operate the Service (e.g., hosting, caching, moderation, safety, debugging, and improving Service quality).
  • Model/third‑party providers: Some generation features rely on third‑party AI models and infrastructure. Their availability and terms may change. We are not responsible for third‑party services.
  • Takedown policy: We may remove or block content and suspend accounts alleged to infringe rights or violate these Terms. Send notices to support@prodkitai.com.

8. Intellectual Property Rights

Content generated through the Service:

  • You retain ownership of content you create, subject to third‑party rights and these Terms
  • You are responsible for ensuring your content complies with applicable laws and policies
  • All rights in the Service and its underlying technology remain with us and our licensors

9. Service Availability & Modifications; Third‑Party Services

  • The Service may be unavailable due to maintenance, outages, or third‑party failures
  • We may modify, suspend, or discontinue features at any time; reasonable notice will be provided when practicable
  • Integrations with third‑party services (including Shopify) are provided on an "as available" basis; we are not responsible for third‑party terms, privacy practices, or availability

10. Disclaimers

THE SERVICE (INCLUDING AI OUTPUTS) IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON‑INFRINGEMENT, TITLE, QUIET ENJOYMENT, AND ANY ARISING FROM USAGE OR TRADE. WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR‑FREE SERVICE OR THAT DEFECTS WILL BE CORRECTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE FEES YOU PAID TO US FOR THE SERVICE IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

12. Indemnification

You agree to defend, indemnify, and hold harmless ProdKit AI and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, your content, your configurations/integrations, or your violation of these Terms or any law.

13. Suspension & Termination

  • We may suspend or terminate access without notice for legal, technical, or security reasons, or for violations of these Terms
  • You may terminate at any time by uninstalling the app
  • Upon termination, your right to use the Service ceases immediately and data handling will follow our Privacy Policy

14. Governing Law & Venue

These Terms are governed by the laws of Nova Scotia and Canada. You submit to the exclusive jurisdiction of the courts located in Nova Scotia, Canada.

15. Changes to Terms

We may update these Terms from time to time. Significant changes will be communicated through the app or via email. Your continued use after changes take effect constitutes acceptance.

16. Severability & Entire Agreement

If any provision is unenforceable, it will be limited to the minimum extent necessary, and the remainder will remain in full force. These Terms, together with our Privacy Policy (incorporated by reference), are the entire agreement between you and us.
